WORKING TOGETHER
TERMS OF SERVICE

I want every project to be enjoyable, straightforward and hassle-free for both of us. The information below simply explains how I work, what you can expect from Darocast Design, and what's needed from both of us to help ensure your project runs smoothly.


By approving a quote or estimate, paying a deposit, or instructing work to begin, you agree to these terms

1. Quotes & Estimates

Where the scope of a project is clearly defined, a quotation will be provided. A quotation is based on the agreed project brief and includes only the work specifically listed in the quotation.

 

If the project requirements change after a quotation has been accepted, or additional work is requested, a revised quotation may be issued or the additional work charged at an hourly rate.

 

For projects where the scope cannot be accurately determined at the outset, an estimate may be provided instead.

An estimate is a reasonable assessment of the anticipated cost based on the information available at the time. It is not a fixed price and is not binding. The final cost may be higher or lower depending on the actual time and work required to complete the project.

 

If it becomes apparent that the final cost is likely to exceed the original estimate by a significant amount, the client will be informed before work continues wherever reasonably possible.

2. Deposits & Payment

For larger projects, or where appropriate, a deposit of up to 50% may be required before work begins. Any deposit requirements will be clearly stated in the quotation or estimate.

 

For projects extending over a longer period, interim invoices may be issued for work completed to date. These invoices are payable within the agreed payment terms and must be settled before work continues.

 

Unless otherwise agreed in writing, the remaining balance is due upon completion of the project and before final artwork files are supplied, print-ready files are released, or websites and digital assets are transferred to the client.

 

All invoices are payable within 14 days of the invoice date unless otherwise agreed in writing.

 

Late payment may result in work being paused or delayed until outstanding invoices have been settled. Darocast Design reserves the right to charge statutory interest and compensation on overdue invoices in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

For international payments, all invoices must be paid in GBP (Pounds Sterling). Please instruct your bank to send the payment in GBP and ensure that any currency conversion or international transfer charges are paid by the sender, so that Darocast Design receives the full invoiced amount.

3. Revisions & Amendments

Each project includes two rounds of reasonable revisions unless stated otherwise in the quotation.

 

Additional revisions beyond the agreed allowance will be charged at an hourly rate.

4. Client Responsibilities

The client agrees to provide all required text, images, branding materials, feedback and approvals within reasonable timeframes. Delays may affect project schedules.

The client confirms they own, or have permission to use, any materials they provide.

5. Project Delays & Inactive Projects

If no communication, content or feedback is received from the client for 30 days, the project may be considered inactive. It may be removed from the production schedule, require a restart fee and/or a revised completion date.

 

Payments already made are not refundable where work has begun.

6. Cancellation

Either party may cancel a project by giving written notice.

 

If a project is cancelled after work has commenced, any payments made to date, including deposits and interim payments, are non-refundable.

 

The client remains responsible for payment of all work completed, time spent and costs incurred up to the date of cancellation, less any payments already received.

 

Any outstanding balance for work completed will become payable in accordance with the agreed payment terms.

 

Unfinished, unpaid or rejected design concepts, source files and working files remain the property of Darocast Design and may not be used, reproduced or modified without prior written permission.

7. Copyright & Intellectual Property

All design concepts, drafts, working files and source files created by Darocast Design remain the intellectual property of Darocast Design unless otherwise agreed in writing.

 

Upon receipt of full payment, the client receives the right to use the final approved artwork for its intended purpose.

 

Unless specifically stated in the quotation, editable working files and source files are not included as part of the project deliverables and remain the property of Darocast Design.

 

Unused concepts, rejected designs and development work remain the property of Darocast Design.

 

Unless specifically agreed in writing, the purchase of design services does not include the transfer or assignment of copyright or any other intellectual property rights belonging to Darocast Design.

8. Portfolio & Promotion

Unless agreed otherwise, Darocast Design reserves the right to display completed work in portfolios, social media, marketing and award submissions. Confidential projects can be excluded by prior agreement.

9. Proofing & Final Approval

The client is responsible for ensuring all artwork has been carefully checked and approved before production, printing or publication, including but not limited to spelling, grammar, contact details, prices, dates, factual information, colours and layout accuracy.

 

Once final artwork has been approved, the client accepts responsibility for any errors not identified during the proofing process. Corrections or reprints required after approval may incur additional charges.

10. Printing & Third Parties

Where printing or third-party services are arranged, reasonable care will be taken to ensure accuracy and quality.

 

Darocast Design cannot accept responsibility for print variations, manufacturing tolerances, paper stock differences, supplier delays or colour differences between screens, proofs and final printed materials.

11. Fonts, Images, Stock Assets & Licences

Projects may include third-party assets such as fonts, photography, illustrations, templates and software resources. These remain subject to their own licence agreements.

 

Unless otherwise agreed, stock images and other licensed assets should be purchased and supplied by the client. If Darocast Design purchases licensed assets on the client's behalf, their use will remain subject to the terms of the relevant licence agreement and any associated usage restrictions.

 

Any additional licence costs will be discussed and agreed before purchase.

 

The purchase of design services does not include ownership or transfer of any third-party licences unless expressly stated otherwise.

12. AI-Assisted Tools

Where appropriate, AI-assisted tools may be used as part of the creative process. Any significant AI-generated content included in final work will be reviewed before delivery. Clients may request that AI tools are not used.

13. File Storage

Project files are securely stored and backed up as part of Darocast Design's normal business procedures. Final files will be retained for a reasonable period after project completion; however, long-term storage cannot be guaranteed.

 

Clients are responsible for safely storing all supplied files. Retrieval of archived projects or files may incur an administration fee.

14. Liability

Every effort is made to deliver accurate, professional work. To the fullest extent permitted by law, liability is limited to the amount paid for the relevant project. Darocast Design is not responsible for indirect losses such as loss of sales, profits or business opportunities.

15. Agreement

Acceptance of a quotation or estimate, payment of a deposit, or instruction for work to begin confirms acceptance of these Terms of Service.

These Terms of Service are governed by the laws of England and Wales.
